Terms of Service
These terms govern the relationship between Halftone Studios (“we,” “us”) and clients (“you”) for website design and development services.
Services
We design, build, and launch custom websites in one week. Each engagement begins with a project proposal outlining scope, deliverables, and price. These Terms apply to all proposals and engagements.
Payment
Full payment is due upon project acceptance, before deployment. We deliver a complete demonstration of the finished website via video walkthrough. Upon receipt of payment, we deploy the site to your domain within 24 hours. Files, code, and deployment occur only after payment is received in full. Invoices are due on receipt. Late payments accrue 1.5% interest per month.
One-week delivery
We guarantee delivery within one week (7 calendar days) from project kickoff, provided client delivers all required materials (content, logo, brand assets, domain access) at kickoff. The one-week clock starts when all materials are received. Delays caused by client responsiveness extend the timeline day-for-day.
If we miss the one-week deadline due to our own delay, client receives a 15% discount on the total project price.
Scope and changes
The project proposal defines the scope, including page count and features. Changes outside the original scope require a written change order and additional fee, negotiated in writing before work continues.
Client responsibilities
You will provide all content (text, images, logos, brand materials) at kickoff. You are responsible for reviewing the demo walkthrough and providing prompt acceptance or feedback.
Post-launch
The project ends at launch. We do not provide ongoing maintenance, content updates, or technical support. For future updates or new features, contact us to discuss a new engagement.
Intellectual property
Until full payment is received, we retain all rights to the work, including the design, code, and any demonstration materials. Upon receipt of full payment, all rights to the final website (code, design, content we created for you) transfer to you. We retain the right to display the work in our portfolio and reference you as a client unless you request otherwise in writing. Stock assets, fonts, and third-party libraries remain under their original licenses.
Demonstration videos and any preview materials are confidential and may not be shared, reproduced, or used to commission similar work from other parties.
Cancellation
You may decline the finished website at the demo stage with no payment owed. We retain all rights to the unpurchased work. Once payment is made, the project is non-refundable except in cases of our failure to deliver as specified in the proposal.
Warranty and liability
We warrant that the website will function as specified in the proposal at the time of launch. We are not responsible for issues arising from third-party services (hosting providers, domain registrars, CMS platforms), client modifications post-launch, or browser/device compatibility outside the proposal’s defined targets. Our total liability is capped at the amount paid under the relevant engagement.
Confidentiality
Both parties agree to keep confidential information shared during the project private and not disclose it to third parties.
Governing law
These Terms are governed by the laws of the State of North Carolina. Disputes will be resolved through good-faith negotiation first, then mediation, before any litigation.
